Memo Terms & Eligibility.

The full terms of MDJ's memo program. Written for retail jewelers — short paragraphs, plain language, no legalese unless we have to.

Program Terms

What you're agreeing to when you memo a piece.

Eligibility

The memo program is extended to retail jewelers approved by MDJ as trade partners. Approval is based on the application reviewed by MDJ's principals and may consider factors including (but not limited to) years in business, store profile, trade references, and existing relationships in the trade circuit.

MDJ reserves the right to extend, decline, or revoke memo privileges at any time without specific cause. Revocation has been rare in the program's history; it's included here for completeness.

Shipping & Insurance

MDJ ships memo pieces overnight, signed-receipt, fully insured to the listed wholesale value. Outbound shipping within the continental United States is on MDJ; partners are responsible for return shipping and insurance. Saturday delivery and expedited shipping are available on request and may be subject to additional charges.

Pieces are insured by MDJ during outbound shipping. Once the partner signs for the piece, the partner is responsible for the piece through return — including return shipping and insurance, until it is signed back in at MDJ. Return shipping requires the use of Fedex or UPS to send back to MDJ Advantage.

Partners' standard jeweler's block insurance typically satisfies this expectation; specific requirements are confirmed during application review.

Memo Duration

Standard memo period is 5-7 calendar days from the date of arrival at the partner's location. Extensions are routinely granted upon request, particularly when an active client conversation justifies additional time. Extensions should be requested before the original memo period closes.

Pieces not returned, sold, or formally extended within the memo period (or any granted extension) will be invoiced at the listed wholesale price. MDJ contacts partners by phone before any auto-conversion occurs.

Returns

Memo pieces may be returned at any time during the memo period using the included pre-paid, insured return label. There are no return fees, no restocking charges, and no penalties for returning pieces.

Pieces should be returned in original packaging where possible, in the same condition as received. Pieces returned with new damage, missing components, or evidence of unauthorized modification (resizing without prior approval, etc.) may be subject to repair charges.

Upon return inspection, any modifications or damage to the item requires full payment.

Conversion to Sale

When a memo piece sells, the memo converts to a wholesale invoice at the listed price. Standard payment terms are Net 30 days. Wire transfer and check accepted; we accept credit cards (3% Fee Applies) for invoiced wholesale.

Pricing & Markup

Wholesale prices listed in the catalog are firm at the time of memo conversion. Partners may sell at any retail price they determine; MDJ recommends keystone pricing.

Wholesale pricing is reviewed periodically and may change for new memos; pieces already on memo retain the price quoted at memo time.

Resale Channels

Memo pieces are intended for in-person retail and private client conversations. Listing memo pieces on the partner's e-commerce site, marketplaces (1stDibs, Chairish, eBay, Christie's, Sotheby's etc.), or social media auctions requires explicit prior approval from Anthony Dominic Mainella, managing partner of MDJ.

Pieces purchased outright (not on memo) may be resold through any channel the partner chooses.

Confidentiality

Wholesale pricing, partner-specific terms, and any non-public information about MDJ's catalog or operations are confidential. Partners agree not to disclose wholesale prices to consumers, competitors, or the trade press.

MDJ reciprocates: partner-specific information (purchase history, terms, internal communications) is not shared outside the partnership.

Termination

Either party may terminate the memo program relationship at any time. Open memos at the time of termination are subject to standard return / conversion options.

Material breach of these terms (failure to return or pay for memo pieces, unauthorized resale, misrepresentation in the application) is grounds for immediate termination and may result in MDJ pursuing recovery of memo pieces and / or invoiced amounts.
